These Terms and Conditions of Trade ("Terms") govern the supply of goods by Prameera Ltd ("the Seller") to pharmacy businesses ("the Customer") that hold or apply for a credit account. By submitting an account application or placing an order, the Customer agrees to be bound by these Terms.
When applying for a trade account, the Customer is required to provide the following information:
The following terms govern all orders placed with Prameera Ltd.
4.1 "Seller" means Prameera Ltd.
4.2 "Customer" means the pharmacy opening an account.
4.3 "Goods" means prescription paper bags and related products supplied by the Seller.
5.1 All orders placed by the Customer are subject to acceptance by the Seller.
5.2 The Seller reserves the right to refuse or cancel any order at its discretion.
6.1 Prices are as agreed at the time of order and are exclusive of VAT unless stated otherwise.
6.2 The Seller reserves the right to amend prices with reasonable notice.
7.1 Payment terms are 30 days from the date of invoice, unless otherwise agreed in writing.
7.2 Payment must be made in full, without deduction or set-off.
8.1 The Seller may, at its discretion, set a credit limit for the Customer.
8.2 The credit limit represents the maximum outstanding balance permitted on the Customer's account at any one time.
8.3 The Seller reserves the right to review, vary, reduce, or withdraw the credit limit at any time without prior notice.
8.4 Where the Customer's outstanding balance reaches or exceeds the credit limit, the Seller may suspend further deliveries and/or require payment in advance before accepting additional orders.
8.5 Exceeding the credit limit does not affect the Seller's right to require payment in accordance with the agreed payment terms.
9.1 Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
9.2 The Seller reserves the right to suspend or withdraw credit facilities where payments are overdue.
10.1 Delivery dates are estimates only and are not guaranteed.
10.2 Risk in the Goods passes to the Customer upon delivery.
11.1 Any shortages, damages, or defects must be reported within 48 hours of delivery.
11.2 No goods may be returned without prior written approval from the Seller.
12.1 Title to the Goods shall not pass to the Customer until full payment has been received by the Seller.
13.1 The Seller may suspend or terminate the Customer's credit account if payment terms are breached or if the Seller reasonably believes there is a credit risk.
14.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
